A Master Service Agreement (MSA) is an agreement under which a service provider or customer providers or receives services. It is referred to as a ‘master’ agreement because it is intended to be a standard agreement that can be used for all kinds of services. For this reason, it is usually very broad. Once MSAs are signed, they will usually be followed by ‘Statements of Work’ which are specific to each job; outlining the specific projects that will be done for agreed fees.
Master Service Agreements typically include clauses related to: – Statements of Work and how they are made – Payment and late payment – Scope of services – Liability protections – Intellectual property ownership – Confidentiality – Term and termination – IT-specific clauses (e.g. hosting, acceptance testing, bug fixes, service levels, etc.)
For service providers, a well-drafted Master Service Agreement (MSA) will secure your revenue streams and protect your liability. For customers, a robust MSA can ensure that you are supplied with the right services at the right time. It will also ensure you have recourse in the event that your service provider does not perform to the standard you require.
