WHAT’S IT FOR?
Sometimes a company will need to change the terms of shares on issue. This is for you if you want to give different rights to different classes of shareholders, such as voting rights, liquidation preferences and dividend rights. Shares can be converted from one class into another class, such as from ordinary shares to A class preference shares
We’ll help facilitate the process of converting shares.
This package includes:
- Quick review of your company constitution to identify any specific requirements for your company
- Preparing resolutions to comply with the Corporations Act
- Preparing an ASIC Form 211 (this will need to be physically mailed by you)
- Phone consultations (up to 30 minutes) with a Sprintlaw lawyer who will take your instructions, advise you on the legal issues you need to know and answer your questions about the agreement
Please note that if your existing constitution does not contain the correct share terms, we may have to charge extra to draft new share terms and/or amend your existing constitution.
