WHAT’S IT FOR?

If you want to link a non-profit and for-profit model, a Hybrid Structure can help you do that. Under a Hybrid Structure, the social enterprise operates under two entities that are linked by several legal documents to ensure strong governance. Hybrid Structures can get complicated so it’s a good idea to get a lawyer’s help to set this up.

WHAT’S INCLUDED?

We will set up a hybrid structure in accordance with the requirements of your business.

This package includes:

• Applying for ACN registration with ASIC for 1 company
• Applying for ABN registration of 1 business
• Preparing share transfer form
• Notifying ASIC of share transfer (temporarily appointing Sprintlaw as your registered agent)
• Preparing a constitution
• Phone consultations (up to 60 minutes) with a Sprintlaw lawyer who will take your instructions, advise you on the legal questions you need to know and answer your questions about the documents

Please note that this package does not include:

• Tax or financial advice
• Preparing additional governance documents between the 2 entities

Please note that all directors of an Australian company are required to have a Director Identification Number before being appointed. If you don’t have one, you will need to download the MyGovID app and verify your identification with the Australian Business Registry Service. To avoid delays with your registration, please make sure you have this ready for your lawyer.
