What Are The Memorandum & Articles Of Association?

The Memorandum & Articles of Association is a set of two documents, which in Australia is the same as what is now known as a company constitution.

You don't hear about them much these days, but Companies incorporated in Australia before 1 July 1998 were required to have these 2 documents, until it was replaced by the single constitution. You might find that old companies incorporated before 1 July 1998 still maintain their Memorandum & Articles of Association.
