That might involve a payment, a waiver of claims, a contractor or supplier separation, return of property, or a mutual agreement to draw a line under the relationship. A short email or simple agreement may not deal properly with release wording, carve-outs, confidentiality or what obligations continue after signing. A deed is often more suitable where finality and precision matter.

Most deeds of release identify the parties, explain the background briefly, define the claims being released and set out any conditions that must be met before the release takes effect. They often also cover payment amounts and timing, confidentiality, non-disparagement, admissions, legal costs and any continuing obligations after completion. Depending on the matter, the deed may also address intellectual property, return of documents or property, resignation steps, service levels during a transition period, or whether the release extends to related entities and individuals.

The drafting depends on what is actually being resolved and who needs protection under the release. A deed used for an unpaid invoice settlement may look very different from one used for a business separation, customer complaint, contractor exit or technology dispute. We would look at whether the release is one-way or mutual, whether payment is conditional, whether there are carve-outs for future obligations, and whether IP, confidentiality or reputational issues need special wording. The more specific the commercial outcome, the more precise the deed can be.

It can be, especially where the matter involves more than a simple one-off payment. Generic templates often use broad release wording without properly identifying the claims, the parties covered, any carve-outs or what happens if payment is late or conditions are not met. They may also miss practical issues like confidentiality, return of materials, continuing service obligations or IP ownership after separation. A tailored deed is usually more useful where there has been a real dispute, a negotiated exit or any concern about future arguments over what was meant to be settled.
