A Pty Ltd company is a separate legal entity; a sole trader and the business are the same legal person. Limited liability is not absolute: directors and shareholders can still face exposure for personal guarantees, unpaid share capital, director-duty or insolvent-trading breaches and some tax debts. A qualifying base-rate entity may pay 25% company tax; otherwise the company rate is 30%. Companies also have additional setup, reporting and ongoing compliance obligations.
A company generally needs its own TFN and will usually obtain an ABN if it carries on an enterprise. GST and PAYG registrations depend on its turnover, activities and circumstances. These registrations are separate from ASIC company registration.
Yes. Sprintlaw is an incorporated legal practice regulated by the Law Society of New South Wales. While company registration is self-serve, our qualified Australian lawyers are here for the legal work that comes next, from constitutions to shareholders agreements.
