A Mutual Non-Disclosure Agreement (NDA) is an agreement between two parties who disclose confidential information and both agree to keep the information on both ends confidential. It is often used by startups who are nervous about giving too much information to a supplier that they have not yet engaged, but it can be used whenever both parties have valuable information they want to protect.
A Mutual Non-Disclosure Agreement typically states both recipients of confidential information must keep it confidential.
Generally, it also usually specifies that the recipients can only use the information for the purpose which it’s been given (e.g. to engage in commercial discussions with the discloser) and cannot use it for any other purpose. It also states that the recipients must ensure that any of their employees or advisors keep the information confidential.
