Unsure about how we work? We have gathered the most common questions for your convenience.
This service is commonly used by businesses delivering project-based work where a quote or proposal is not enough on its own. That can include consultants, agencies, software providers, marketing businesses, service suppliers and other teams working to milestones or staged deliverables. It is particularly useful where the project has dependencies, approval points, phased billing or handover obligations. In those situations, the SOW often needs to do more than describe the work. It needs to connect the commercial plan with the legal terms that govern delivery.
A strong SOW usually deals with the practical mechanics of the project, not just the headline deliverables. That often includes scope boundaries, assumptions, milestones, timing, client responsibilities, acceptance criteria, change requests, payment triggers, ownership of work product, confidentiality, liability settings and termination or exit steps. If service levels or post-delivery support are relevant, those may also need to be addressed. The aim is to reduce ambiguity around what is included, when work is treated as complete, and what happens if the project changes part way through.
The difference is that this page is aimed at broader support around the statement of work as a working project document. In many matters, the legal risk comes from the gap between the SOW and the rest of the deal. For example, a payment trigger in the SOW may not match the invoicing clause in the main agreement, or an acceptance process may be too vague to use in practice. This service looks at those connections, rather than treating the SOW as a standalone form with no wider context.
Yes. If a client, supplier or counterparty has provided the draft, we can review it and identify the clauses that may need attention before you sign. Common review points include unclear scope wording, weak change control, milestone ambiguity, ownership of deliverables, broad warranty language, service level commitments and termination mechanics. We can then suggest revisions or prepare a marked-up version. That is often useful where the commercial offer looks fine at first glance but the legal wording creates operational problems once work begins.
If the project changes, the document should usually be updated rather than relying on informal messages or assumptions. New deliverables, revised deadlines, extra phases or different approval steps can all affect payment timing, ownership positions and liability allocation. This service includes up to two rounds of amendments during the initial engagement, which can help if the SOW is still being settled. Later changes after completion would usually be separate work. If your projects change frequently, we can also discuss building a clearer variation process into the SOW.
