A grant agreement often contains obligations that go well beyond the funding amount. It may set strict milestones, evidence of spend requirements, publicity rules, IP terms, subcontracting limits, audit rights and repayment triggers if the project changes. For charities, associations and social enterprises, those terms can also affect board approvals, delegations and reporting processes. A legal review helps identify what your organisation is committing to before signature, where wording is unclear or one sided, and which clauses may create delivery pressure if the project timeline, staffing or scope shifts after funding is awarded.
The most important clauses are usually the ones that control how and when funding can be used, reported on and clawed back. We commonly review the funded activities, milestone dates, payment conditions, acquittal and reporting obligations, permitted expenditure, variation rights, audit access, confidentiality, IP ownership, termination rights and any repayment or suspension provisions. Incorporated schedules, guidelines and application materials also matter if they become contractually binding. Where a funder has broad discretion or key project assumptions are missing, that can create practical and legal issues later, especially if performance is assessed strictly against the written terms.
We can review either a standard form agreement or a draft that has already been negotiated. Standard forms are often presented as non negotiable, but they can still contain significant obligations around branding, monitoring, reporting, termination and repayment. A negotiated draft may also pick up extra risk through special conditions, annexures or project schedules. We review the actual documents you have received and explain the effect of the key clauses in plain English. If you want help marking up amendments or preparing a response to the funder afterwards, that is usually scoped as separate work.
The review is considered against your organisation's structure, governance settings and project delivery model, not just the wording on the page. The same clause can have a very different impact on a registered charity, an incorporated association or a social enterprise with commercial activities. We look at issues such as who can approve the agreement, whether reporting obligations are realistic, how subcontractors or partners are involved, and whether the milestones match your operational capacity. Where an external authority is involved, we will help you understand what may be needed for your situation. which can also affect how certain obligations should be read in practice.
An internal review is useful for checking the project background, budget and delivery plan, but it may not pick up how the legal wording operates if there is delay, underspend, scope change or disagreement with the funder. Free templates and checklists also do not analyse the specific agreement you have been asked to sign, including incorporated policies, grant guidelines or repayment clauses. This is particularly important where the funding is material, the reporting obligations are detailed, or the document gives the funder broad rights to suspend payments, require extra information or terminate if milestones are missed.
