A Deed of Accession is a joining document. If a company wants to bring on a new shareholder, that person can agree to be bound by the existing Shareholders Agreement by signing a Deed of Accession. This effectively adds them to the Shareholders Agreement. Deeds of Accession are commonly used because they save the company from having to draft an entirely new agreement, making the process simpler and more efficient.

A Shareholders Agreement is a legal document that sets out the roles, responsibilities and liabilities of company shareholders. It covers matters such as how shares are managed, what happens when a shareholder wants to leave, and how voting rights work. Shareholders need to agree to the terms of the Shareholders Agreement.
