An Employee Share Options Plan (ESOP) is an incentive arrangement where companies offer employees shares or rights to buy shares in the company. These rights are usually provided with certain conditions attached, such as minimum employment periods and/or minimum KPIs. An experienced lawyer can do a high-level review of the ESOP to help ensure your important legal protections are covered.

Broadly, an ESS (Employee Share Scheme) involves directly issuing shares to employees, while an ESOP gives employees the opportunity to acquire shares in their company through a share option plan. However, there are several more nuanced differences between the two. There may also be tax and concession benefits to consider, particularly in light of the 2015 reforms.
