WHAT’S IT FOR?

Starting a new charity is an exciting time to make a positive difference, but the legal side of things can be confusing. A common legal structure for charities is a Company Limited by Guarantee. A CLG works similarly to a normal company, except that it’s usually not-for-profit. It has its own legal identity, ability to sign agreements, limits liabilities for the members, and so on. We can help you set up your CLG so you can continue with your mission to make a positive difference.

WHAT’S INCLUDED?

We’ll submit an application to set up your not-for-profit organisation as a company limited by guarantee.

This package includes:

• Initial consultation with a Sprintlaw lawyer
• Drafting a special purpose constitution including the charitable purpose for your organisation
• Application of 1 company limited by guarantee with ASIC
• Electronic company register pack, including the Certificate of Registration, Constitution, Register of Members and all required resolutions and consents (if your application is successful)
• Optional: Applying for ABN registration for 1 business

This package does not include bespoke drafting to your Constitution or further assistance if your application is unsuccessful or has any issues. We cannot guarantee the success of your application and if you need further assistance beyond this scope, we will need to set up a new project.

Please note that all directors of an Australian company are required to have a Director Identification Number before being appointed. If you don’t have one, you will need to download the MyGovID app and verify your identification with the Australian Business Registry Service. To avoid delays with your registration, please make sure you have this ready for your lawyer.
