WHAT’S IT FOR?

A Franchise Agreement is a contract that sets out the terms by which one party (the franchisor) grants another party (the franchisee) the right to carry on a business according to the system or marketing plan determined by the franchisor. It is important to understand the terms of a Franchise Agreement before proceeding to purchase a franchise.

We’ll provide a high level review of your franchise documents.

This package includes:

• High level review of the Franchise Agreement and the Disclosure Document by a Sprintlaw lawyer
• A walkthrough of the review findings by a Sprintlaw lawyer, either via the phone (up to 60 minutes) or in a video recording
• Sign off on your legal advice certificate, if required

Please note that this package is limited to the scope provided in the proposal above. The package does not include:

• any written advice or a list of key suggested amendments. It is also a limited scope package that does not include re-drafting or marking-up the document. If re-drafting or marking-up is required, we will provide a new quote for the re-draft.
• a list of key suggested amendments. If you require this, we will provide a new quote.
• assistance with execution, conducting of any due diligence or readiness to franchise, advising on tax or business structuring, and assumes that the transaction does not involve any employment, tax, accounting or other compliance issues.
• any direct negotiations or correspondence with the counter-party or their lawyers, or the review of any responses from the counter-party or their lawyers to the list of suggested amendments. If you need further negotiation support or additional rounds of review, we will provide a new quote scoped according to our Negotiation Support package.
• the review of any lease, licence or any ancillary documents.
